光银国际助力国泰君安证券股份有限公司成功定价4亿美元境外债

近日，光银国际作为联席牵头经办人和联席账簿管理人，成功助力国泰君安证券股份有限公司（“国泰君安”，简称“公司”）定价4亿美元3年期高级无抵押债券。国泰君安主体评级为标普BBB+，穆迪Baa1，均展望稳定，债项评级为穆迪Baa1。债券于港交所上市。

公司由均创设于1992年的原国泰证券和原君安证券通过新设合并、增资扩股，于1999年8月18日组建成立。上海国有资产经营有限公司为公司控股股东，上海国际集团有限公司为公司的实际控制人。公司于2015年6月A股（601211.SH）上市，2017年4月H股（2611.HK）上市，实现了A+H国际化资本架构，已形成涵盖证券及期货经纪、权益及FICC交易、资产管理等诸多业务领域的综合金融服务体系。

在光大银行上海分行的大力支持下，光银国际助力公司成功定价此次美元债券，增强了公司在国际资本市场的认可度。以此为契机，光银国际将加大与光大银行上海分行的合作力度，加强业务的联动及协同，争取在业务上实现多层次、多元化的合作。

Recently, Guotai Junan Securities Co., Ltd (the “Company”), successfully priced its USD 3-Year senior fixed rate notes (the “Notes”). CEBI acted as Joint Lead Manager, and Joint Bookrunner on this deal. The Company is rated BBB+ by S&P and Baa1 by Moody, both with stable outlook. The Notes is rated Baa1 by Moody. The Notes will be listed on HKEX.

The Company was founded on August 18th, 1999 through the merger, capital and share increase between former Guotai Securities and former Junan Securities, both of which were established in 1992. Shanghai Stated-owned Assets Mangement is the dominant stockholder of the Company, and Shanghai International Gruop is the actual controller of the Company. Listed in A-shares (601211.SH) in June 2015 and H-shares (2611.HK) in April 2017, the Company achieved an A+H international capital structure and has formed a comprehensive financial service system covering securities and futures brokerage, equity and FICC trading, asset management and many other business areas.

With the unreserved support of the China Everbright Bank Shanghai Branch (“CEB Shanghai Branch”), CEBI helped the company to price this deal successfully. This will strengthen the business partnership between CEB Shanghai Branch and CEBI and will enhance our future cooperation in fighting for various business expansions.
