2022年11月16日，光银国际作为联席账簿管理人、联席牵头经办人及资本市场中介人，成功助力交运燃气有限公司（股票代号：1407.HK，以下简称“交运燃气”）于香港主板挂牌上市。

此次IPO募集资金将用于在经营区域内建设约 101.0公里的新中压管道（涵盖若干农村及偏远工业地区）以扩充管道天然气销售业务、升级公司约43.4公里的城巿管道网络、为经营区域内超过19,500个家庭将现有燃气表更换为金卡表、在经营区域内实践清洁能源村庄项目和用作营运资金及其他一般公司用途。

交运燃气是一家拥有超过16年经验的天然气营运商，于山东省潍坊巿高密市运营，并已经连续五年获评为高密市优秀企业。公司与高密市市政管理局订立特许协议，据此，公司拥有独家权利于经营区域内营运管道天然气销售及相关业务，有效期自2009年8月18日起为期30年。于最后实际可行日期，公司特许权下的经营区域占高密市总行政区域的约70.0%，其管道天然气供应商为中石油及山东实华（中石化拥有其50%）。公司的管道天然气客户主要为零售（包括住宅、商业及工业）管道天然气终端用户。公司亦从事压缩天然气及液化天然气销售、提供建设及安装服务及燃气器具销售。公司自以下各项产生收益：(1)销售管道天然气，主要透过公司的城市管道网络向经营区域内的管道天然气终端用户销售；(2)在公司的压缩天然气及液化天然气加气站销售压缩天然气及液化天然气；(3)提供建设及安装服务；(4)销售燃气器具。

As a Joint Bookrunner, Joint Lead Manager and Capital Market Intermediary, CEBI assisted JY Gas Limited (Stock Code: 1407.HK, “JY Gas”) to get listed on the Main Board of the Stock Exchange of Hong Kong on 16th November 2022.

The net proceeds from the Global Offering will be used for expanding sale of PNG business through construction of new mid-pressure pipelines of approximately 101.0 km to cover certain rural areas and remote industrial areas in the Company’s Operating Area, upgrading approximately 43.4 km of the Company’s urban pipeline network, replacing existing gas meters with the Company’s Goldcard Meters for over 19,500 households in Operating Area, implementing Clean Energy Projects for households in the Operating Area and working capital and other general corporate purposes.

JY Gas is a natural gas operator with over 16 years of experience that operates in Gaomi City, Weifang Municipality of Shandong Province and has been designated as an Outstanding Enterprise in Gaomi City for five consecutive years. The Company has an exclusive right under the Concession Agreement with Gaomi City Bureau of Municipal Affairs Administration to operate PNG sales and related businesses within the Operating Area, for an effective term of 30 years from 18th August 2009. As at the Latest Practicable Date, the Company’s Operating Area under the Concession represented approximately 70.0% of the total administrative area of Gaomi City. Its PNG suppliers are PetroChina and Shandong Shihua (which is owned by Sinopec as to 50%). The Company’s PNG customers are primarily retail, consisting of residential, commercial and industrial PNG end-users. The Company also engages in the sale of CNG and LNG, provision of construction and installation services and sale of gas-burning appliances. The Company generates revenue from (1) the sale of PNG, primarily through its urban pipeline network to PNG end-users in the Operating Area; (2) the sale of CNG and LNG at the Company’s CNG and LNG refuelling stations; (3) the provision of construction and installation services; (4) the sale of gas-burning appliances.

As a Joint Bookrunner, Joint Lead Manager and Capital Market Intermediary, CEBI has made crucial contributions to the successful listing of the Company.
